The capitalized terms used in this document have the meaning given to them in the Terms of Use, unless the context requires otherwise.

1. Business risks

You acknowledge and agree to access and use the Services at your own risk. The risk of loss in the exchange of digital token pairs can be considerable. Therefore, you should carefully consider whether this trade is suitable for you, depending on your situation, your objectives and your financial resources. You must be aware of the following:

• It is possible to cause a total loss of the Funds transferred to and from all Funds in your IoExchange account. The traded price of digital tokens can vary significantly over a short period. The negotiated price of a digital token may also decrease due to a variety of factors, including discovery of unlawful behavior, market manipulation, modification of digital token properties, attacks (as defined in paragraph 4 below), suspending or removing technical support. a digital token from IoExchange or from external account providers or other service providers and other factors beyond IoExchange's control.
• Under certain market conditions, it may be difficult, if not impossible, to buy or sell a digital token. This can happen, for example, if the market liquidity is insufficient. We are not and will not be responsible for the portability, liquidity and / or availability of any digital tokens.
• IoExchange may suspend trading or stop providing services for any digital token at any time, at IoExchange's sole discretion. You may not be able to withdraw digital tokens until the services offered by IoExchange for these digital tokens cease, resulting in the loss of these digital tokens in your IoExchange account.

2. Internet transmission risks and error correction

You acknowledge that using an Internet-based trading system involves risks, including hardware, software, and Internet connection issues. You acknowledge that IoExchange will not be liable for any communications, interruptions, errors, distortions or delays that may occur during the exchange through the Services, regardless of the cause.

If an order, transaction or transfer is based on a manifest error (regardless of whether you or any other user benefits), based on the manifest error IoExchange may (without obligation), at its discretion and in its sole discretion, act reasonably and in good faith for:

• correct, delete or cancel any order, transaction or transfer;
• cancel a transaction as if it had never occurred;
• IoExchange may suspend trading or stop providing services for any digital token at any time, at IoExchange's sole discretion. You may not be able to withdraw digital tokens until the services offered by IoExchange for these digital tokens cease, resulting in the loss of these digital tokens in your IoExchange account.

3. Risks related to attacks on the Services or IoExchange accounts.

The Services and / or IoExchange accounts and funds held in these accounts may be subject to attack against their security, integrity or operation, and you acknowledge and agree that IoExchange will not be liable for any resulting losses.

4. Risks related to the properties of digital tokens.

• Any digital token and software, networks, protocols, systems and other technologies (including, where applicable, blockchain) used to administer, create, transmit, transfer, delete, use or exchange any digital token ("technology") may be vulnerable to attacks on its security, integrity or operation ("attacks"), including attacks that use sufficient computing power to overwhelm the normal functioning of a blockchain or other underlying technology.
• Any digital token or underlying technology may change or stop working as intended due to a change in the underlying technology, a change made using features or functions embedded in the underlying technology, or a change resulting from an attack. These changes may include, without limitation, a "fork" or "rollback" of a digital token or blockchain.
• Any digital token can be deleted, lost or doubled, or the negotiated price can be reduced due to constraints, inversions, attacks, changes in features, functionality, operation, usage and other properties of the digital token or digital token failure to function as intended .
• IoExchange may not support associated side chains or other core digital token technologies based on a fork, an enhancement or derivative of a different digital token, or a different underlying technology, even if it relies on a digital token supported by IoExchange. Any digital token can be lost if it is sent to the wrong address (for example, but without limitations, if the address is incorrectly formatted, contains errors, or is intended to be used for a different type of digital token).

5. Regulatory risks.

The regulatory status of digital tokens is unclear or unstable in many jurisdictions. It is difficult to predict how or if government authorities will regulate digital tokens. Similarly, it is difficult to predict how or if a government authority can make changes to existing laws, regulations and / or rules that will affect any of the digital tokens. Digital tokens can therefore be securities or be governed by the laws of certain jurisdictions. IoExchange may cease to provide services in connection with any of the digital tokens or may prohibit the use of services in or from certain jurisdictions in the event that governmental actions render it unlawful or, from a commercial point of view, undesirable to continue to offer such services for any digital token. Under section 2.2 of the Terms of Use, you represent and warrant that you will not use our services if the law in your country prohibits it in accordance with the Terms of Use.

6. Counterparty risk.

We do not control or are responsible for the delivery, quality, security, legality or any other aspect of digital tokens that can be purchased or sold to a user of the Services. We are not obliged to guarantee that a third-party buyer or seller with whom you carry out the transaction completes a transaction or transaction or is authorized to do so. In addition, there are no warranty funds or other provisions in place to cover or indemnify you for any pecuniary loss you suffered as a result of defects or insolvency of any other user of the Services.

The risks described in this risk statement may result in the loss of digital tokens, the reduction or loss of value of digital tokens, the inability to access or transfer digital tokens, the inability to exchange digital tokens, the inability to benefit for other holders of digital tokens and other financial losses. You agree and accept that IoExchange assumes no responsibility for these risks at any time. By waiving, releasing and irrevocably issuing any claim, regardless of your knowledge, to IoExchange and its directors, members, officers, employees, agents and subcontractors.

You represent and warrant that you have:

• the necessary technical expertise and the ability to review and evaluate the security, integrity and operation of any digital token you choose to purchase or redeem;
• knowledge, experience, understanding, professional advice and information to evaluate the benefits and risks of any digital token or any business.

You accept the risk of exchanging digital tokens using the services and are responsible for performing your own independent risk analysis of tokens and digital services. You must not acquire or trade any tokens unless you have sufficient financial resources and can afford to lose the value of the digital tokens or incur substantial losses.

IoExchange's decision to support the transfer, storage or negotiation of a particular digital token through the services does not indicate that IoExchange approves or disapproves the digital token, or the integrity, security or operation of the digital token or the its core technology and IoExchange makes no representations or warranties with respect to digital tokens that are supported or not supported by the Services. The risks associated with digital tokens and digital token negotiations apply despite IoExchange's decision to provide services for a particular digital token and the risks of these transactions will be entirely yours and yours only.
